BACA Charter

The Bay Area Compensation Association (BACA) was formed in 1984 to provide top quality educational programs and networking opportunities for compensation professionals in the San Francisco Bay Area. BACA coordinates regular meetings in which speakers present topics important to the compensation community. BACA includes representatives from more than 100 private and public local organizations. In addition, BACA is a charter member of WorldatWork's Local Network, an alliance of independent compensation, benefits and human resources organizations representing professionals globally.

  1. PURPOSE

    BACA is organized exclusively for educational purposes under section 501(c)(3) of the Internal Revenue Code (pending approval). Specifically BACA provides a forum for Bay Area compensation professionals to:

    1. Become acquainted with other compensation professionals.
    2. Exchange ideas and information about compensation policies, programs, and administration.
    3. Provide members with the opportunity to update and increase their professional and technical knowledge and skills through BACA monthly meetings, seminars and workshops.

    Information presented at BACA meetings is considered confidential and shall be for the exclusive use of BACA members.

    Members agree, as a condition of membership:

    1. To share information about their organization's compensation practices except for such information that would compromise the competitive position of their employer.
    2. To share such information through active participation in roundtable discussions, and when called upon, in individual/panel presentation on subjects in which they have practical knowledge and/or recent experience.
  2. MEMBERSHIP

    BACA is a company-sponsored membership association. Membership shall be on an annual (12 month) basis contingent upon the payment of established BACA dues.

    Each member company shall be entitled to designate representatives to attend meetings and represent the interests of the member organization. Membership is also open to consulting firms that specialize in compensation.

    The right to paid membership shall belong to the member organization and shall include the right to designate or to change the individual member representative(s). If an organization maintains a policy of not becoming members in associations such as BACA and if a representative who meets all other membership criteria desires to become a member of BACA, he or she shall not be excluded from membership. In these cases, individual member representatives shall have all the rights of other member organizations described above.

    Annual membership dues for each company or organization, which shall include at least one individual member, are as follows:

    • Annual member company dues of $175 payable by check or credit card
  3. ORGANIZATION

    BACA shall be managed jointly by a Chairman, Treasurer, and Steering Committee consisting of up to twelve member representatives. The Chairman shall arrange and conduct meetings and manage the activities necessary to achieve BACA's goals. The Treasurer shall perform financial transactions and prepare an annual financial report. The Steering Committee shall keep abreast of the needs and interests of BACA members, establish objectives and plans for BACA, maintain online resources on the BACA website and assist the Chairman in managing BACA's activities

    The Chairman and Treasurer are selected by members of the Steering Committee.

  4. MEETINGS

    BACA members meet monthly, generally on a Thursday, from noon until 2:00 p.m. Lunch is provided at the meetings. Meeting notices describing the topic and guest speaker(s) are sent to all members before every meeting. Meetings are conducted in the form of roundtable discussions, panel presentations or speakers on compensation and other topics of interest to the members. Members are surveyed periodically regarding topics of interest. Members may also provide or arrange for meeting presenters by working with a Steering Committee member. Non-members are welcome to attend meetings, as space permits. Registration is required for attendance at meetings.

    The cost of the monthly luncheon meeting for members is typically $15 per person. The cost for non-members is typically $25 per person.

  5. AMENDMENTS

    This charter may be amended when necessary by a majority of the Steering Committee.
